13. Profit-Sharing Agreements
Any profit-sharing arrangement is governed by the applicable signed agreement.
Unless otherwise stated in that agreement:
- The client retains ownership and control of the client’s account
- The client independently decides whether to execute a transaction
- Palisander does not guarantee a profit
- Investment losses remain possible
- Profit-sharing calculations are subject to verification
- Payment is due only according to the agreed calculation and settlement provisions
- Account statements or supporting records may be required
- A final calculation may be required following termination
General website information does not modify an executed profit-sharing agreement.
14. Fees and Payments
Fees for professional services are established in a proposal, engagement letter, service agreement, profit-sharing agreement, or other written document.
Depending on the engagement, fees may include:

- Success-related fees
- Profit-sharing fees

- Bank and payment-provider charges may be payable by the sending party
- Overdue amounts may be subject to lawful collection costs
- Payments are not refundable once the relevant work has been performed
Palisander will not be responsible for payment instructions altered through fraud or an unauthorized communication. You should independently verify material payment instructions before transferring funds.
15. Acceptable Use
You may use the website only for lawful purposes.
You must not:
- Violate any applicable law or regulation
- Impersonate another person or organization
- Submit false or misleading information
- Attempt unauthorized access
- Interfere with website operation
- Introduce malware or harmful code
- Circumvent security measures
- Scrape or harvest personal data
- Conduct automated high-volume requests without permission

Liability arising under a separate signed agreement is governed by that agreement.
24. Indemnification
To the extent permitted by law, you agree to indemnify and hold harmless Palisander and its directors, officers, employees, representatives, contractors, and service providers from claims, losses, liabilities, damages, and reasonable costs arising from:
- Your unlawful use of the website
- Your breach of these Terms
- False or unauthorized information submitted by you
- Your infringement of another person’s rights
- Your misuse of Palisander content or branding
- Malicious files or code submitted by you
- Actions taken through your identity or authority
This obligation does not apply to the extent a claim was caused by Palisander’s own unlawful conduct.
25. Suspension and Termination

28. Governing Law
These Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles, except where another law must apply.
Before initiating formal proceedings, the parties shall attempt in good faith to resolve a dispute through written notice and direct negotiation.
29. Arbitration and Class-Action Waiver
To the extent permitted by applicable law, an unresolved dispute arising solely from these Terms or use of the website shall be resolved by binding arbitration administered by the American Arbitration Association.
For a commercial dispute, the applicable Commercial Arbitration Rules shall apply. If applicable law or the administrator requires a different ruleset, the required ruleset shall apply.
Unless otherwise required by law:
- The seat of arbitration shall be New York, New York
- Proceedings shall be conducted in English
- The arbitrator may award remedies available under applicable law
- Judgment on the award may be entered in a court of competent jurisdiction
- Claims must be brought individually and not as a class, collective, or representative action
Nothing prevents either party from seeking temporary or emergency injunctive relief to protect intellectual property, confidential information, security, or prevent fraud.
Nothing in this section limits rights that cannot lawfully be waived.
A dispute governed by a separate signed agreement shall be handled according to that agreement.
30. Time Limit for Claims
To the extent permitted by law, a claim arising solely from use of the website or these Terms must be brought within one year after the event giving rise to the claim.
This section does not shorten a limitation period where applicable law prohibits such a restriction.
31. Changes to These Terms
Palisander may update these Terms to reflect:
- Changes to the website
- New services
- Operational changes
- Security requirements
- Legal or regulatory developments
- Changes in business practices
The updated Terms will be published with a revised “Last Updated” date.
Material changes may be accompanied by additional notice where legally required.

Changes do not retroactively alter an existing signed agreement unless the parties agree in writing.
32. Severability
If a provision of these Terms is held invalid or unenforceable, it shall be modified to the minimum extent necessary to make it enforceable.
The remaining provisions will continue in effect.
33. No Waiver
A failure or delay by Palisander in exercising a right does not waive that right.
A waiver is effective only if made in writing by an authorized representative.
34. Assignment
You may not assign or transfer your rights under these Terms without Palisander’s prior written consent.
Palisander may assign these Terms to a successor or affiliate in connection with a merger, reorganization, financing, sale of assets, or transfer of website operations, subject to applicable law.
35. Entire Agreement
These Terms, together with the Privacy Policy, Legal Disclaimer, applicable cookie notices, and any other expressly incorporated website policy, form the complete agreement concerning general use of the website.
They do not replace a separately executed engagement letter, service agreement, profit-sharing agreement, confidentiality agreement, or transaction document.
